Item 8.01 Other Events

On October 23, 2025, Provident Financial Holdings, Inc. (the “Corporation”) announced that the Corporation’s Board of Directors declared a quarterly cash dividend of $0.14 per share. Shareholders of the Corporation’s common stock at the close of business on November 13, 2025 will be entitled to receive the cash dividend. The cash dividend will be payable on December 4, 2025.

The news release announcing the quarterly cash dividend is attached as Exhibit 99.1 and incorporated by reference herein.
