("ClearBlue"), Atlantic Investors LLC (the "Reporting Person") received in a pro rata distribution effected by ClearBlue 124,934 shares of the Issuer's common stock in exchange for the Reporting Person's shares of common stock of ClearBlue (the" Distribution Transaction"). Simultaneously with the Distribution Transaction, ClearBlue transferred in non-reportable transcations (i) 7,106,067 shares of the Issuer's common stock to the Reporting Person to satisfy certain intracompany obligations owed to the Reporting Person by ClearBlue and (ii) 147,635 shares of the Issuer's common stock to the Reporting Person in an intracompany transfer. In addition, ClearBlue Atlantic LLC on August 21, 2003 and August 26, 2003 in non-reportable transactions distributed to the Reporting Person , its managing member and aggregate of 10,505,947 shares of the Issuer's common stock.
