Item 8.01 Other Events.

On December 19, 2007, Computer Horizons Corp. (the “Company”) announced that it settled litigation pending between the Company and Axium International and that the Company’s Board of Directors voted to declare a liquidating distribution in the amount of $0.30 per share payable on February 11, 2008 to all holders of record of the Company’s common stock, par value $0.10 per share, on January 15, 2008.

This summary is qualified in its entirety by the Company’s December 19, 2007 press release announcing the settlement with Axium International and the liquidating distribution, a copy of which is attached hereto as Exhibit 99.1 and incorporated into this Item by reference.
