(the Company") issued shares of its common stock, par value $0.01 per share ("Common Stock"), to the Reporting Person and certain other Marina shareholders as consideration for their interests in Marina. On May 16, 2003, in accordance with the terms of the merger agreement between the Company and Marina, the Reporting Person automatically received 103,202 shares of Common Stock as additional consideration in connection with the merger.
