~~The~~Ceres ~~registrant~~Managed ~~does~~Futures ~~not~~LLC, ~~have~~the ageneral ~~board~~partner of ~~directors. The~~the registrant’s ~~general~~(the ~~partner~~“General Partner”) and the registrant have entered into an amendment, ~~Ceres~~dated ~~Managed~~January ~~Futures~~1, ~~LLC~~2013 (the “~~CMF~~Amendment to the Management Agreement”) to the Management Agreement, isdated ~~managed~~February by1, 1999, (together with the Amendment to the Management Agreement, the “Management Agreement”) with Willowbridge Associates Inc. (the “Advisor”), a ~~board~~Delaware corporation, pursuant to which the Advisor shall manage the portion of ~~directors~~the registrant’s assets allocated to it.

~~Effective~~Pursuant ~~June~~to 13the Existing Agreement, ~~2012~~the Advisor traded the portion of the registrant’s assets allocated to the Advisor indirectly through the registrant’s investment in CMF Willowbridge Master Fund L.P. (formerly, MrCMF Willowbridge Argo Master Fund L.P.), ~~Brian~~a ~~Centner~~New ~~resigned~~York aslimited ~~Chief~~partnership ~~Financial~~(the ~~Officer~~“Willowbridge Master Fund”), pursuant to its Argo Trading System. Pursuant to the Amendment to the Management Agreement, the Advisor will trade the portion of ~~CMF~~the registrant’s assets allocated to the Advisor indirectly through the registrant’s investment in Willowbridge Master Fund pursuant to its wPraxis Futures Trading Approach. Further, the Amendment to the Management Agreement decreases the monthly fee for professional services the registrant pays the Advisor to 1/8 of 1% (1.5% per year) of the month-end net assets of the registrant allocated to the Advisor.

~~Effective~~The Management Agreement expires on June ~~13,~~30th ~~2012~~of each year, ~~Mr.~~and ~~Damian~~may ~~George~~be ~~was~~renewed ~~appointed~~by ~~Chief~~the ~~Financial~~General ~~Officer~~Partner in its sole discretion for additional one year periods upon advance notice to the Advisor not less than 30 days prior to the expiration of ~~CMF~~the previous period.

~~Damian~~The ~~George,~~Amendment ~~age~~to ~~44, has been~~ the ~~Chief~~Management ~~Financial~~Agreement ~~Officer and a principal of the general partner since June 2012, and~~ is anfiled ~~associate~~herewith member of the National Futures Association. Since August 2009, Mr. George has been employed by Morgan Stanley Smith Barney LLC (“Morgan Stanley Smith Barney”), a financial services firm, where his responsibilities include oversight of budgeting, finance and Sarbanes-Oxley testing for the Alternative Investments–Managed Futures group. Since August 2009, Mr. George has been registered as anExhibit ~~associated person of Morgan Stanley Smith Barney~~10. ~~From November 2005 through July 2009, Mr~~1. George was employed by Citi Alternative Investments, a division of Citigroup Inc. (“Citigroup”), a financial services firm, which administered Citigroup’s hedge fund and fund of funds business, where he served as Director and was responsible for budgeting, finance and Sarbanes-Oxley testing for the Hedge Fund Management group. From November 2004 through July 2009, Mr. George was registered as an associated person of Citigroup Global Markets Inc. Mr. George earned his Bachelor of Science degree in Accounting in May 1989 from Fordham University and his Master of Business Administration degree in International Finance in February 1998 from Fordham University. Mr. George is a Certified Public Accountant.
