ITEM 8.01. OTHER EVENT

On October 11, 2005, at a special meeting of the Shareholders of Exchange Bancshares, Inc., the Shareholders approved the proposed merger of Exchange Bancshares, Inc. with and into Rurban Financial Corp. pursuant to the terms of the Agreement and Plan of Merger dated as of April 13, 2005 (the "Merger Agreement"). The applications for the transactions contemplated by the Merger Agreement have been submitted for regulatory approval to the Federal Reserve Bank of Cleveland and the Ohio Division of Financial Institutions.
