~~On August 26, 2013 The Bank of New York Mellon, as Trustee for the~~ PPLUS Trust Series SPR-1 Trust (the “Trust”), ~~issued~~has aliquidated ~~press~~its ~~release~~assets ~~regarding~~and ~~the~~terminated. A ~~termination~~liquidation distribution of ~~the~~securities ~~Trust. The~~and ~~Trustee~~cash ~~gave~~was ~~notice~~made ~~that~~with itrespect ~~had~~to ~~not~~the ~~received~~Certificates aof ~~notice~~the ofTrust ~~exercise~~on ~~from~~September 3, 2013. In accordance with the ~~holder~~terms of the ~~warrants~~Trust toAgreement, ~~purchase~~Holders of the ~~outstanding~~Certificates ~~PPLUS~~received ~~Trust~~42,497,000 ~~Series~~principal ~~SPR-1~~amount ~~(the~~of “Underlying Securities~~”).~~, ~~Under~~plus ~~the~~$ ~~terms~~724,816 ofin ~~the~~cash ~~Trust~~in ~~Agreement,~~aggregate if (the ~~Call~~“Excess ~~Warrant~~Underlying ~~Holder~~Securities ~~chooses~~Proceeds”), ~~not~~based toon ~~exercise~~a ~~the~~required ~~Call~~liquidation ~~Warrants~~on ~~within~~August 1030 ~~days~~of ~~after~~the ~~notice~~principal isamount ~~given,~~of ~~distributions~~Underlying ~~will~~Securities bein ~~made~~excess toof the ~~holders~~principal balance of the Certificates. In relation to holdings of Certificates evenly divisible by 40, Holders of the Certificates received their pro rata allocation of the Underlying Securities and Excess Underlying Securities Proceeds. In relation to any portion of their holdings of Certificates not evenly divisible by 40, Holders of Certificates received an all cash distribution due to required minimum denominations for transfer of Underlying Securities. For Holders of Certificates for which the liquidation of the Underlying Securities occurred on August 30, due to minimum denominations for transfers to DTC participants, the amount of such cash distribution for lots of 39 or fewer Certificates is approximately $23.60 per Certificate.

For Holders of Certificates for which the liquidation of the Underlying Securities occurred after transfers to DTC participants, the amount of such cash distribution for lots of 39 or fewer Certificates varies based on the liquidation price obtained in relation to the Underlying Securities allocable to particular lots held by or through individual participants in DTC. Such liquidation prices could not be determined on August 30; they could be determined only after crediting of Underlying Securities to the relevant individual DTC participants. The liquidation price in respect of individual participants in DTC depends on time of sale, available prices, lot sizes and other market factors.
