Attached as Exhibit 99.1 to this Current Report are certain materials (the “Computational Materials”) furnished to the Registrant by Bear, Stearns & Co. Inc. (“Bear Stearns”) in respect to Bear Stearns Asset Backed Securities, Inc., Asset-Backed Certificates, Series 2004-1, ~~2003~~Class A-~~SD1~~1, Class A-2, Class A-IO, Class M-1, Class M-2, ~~and~~Class M-3, Class B-1, Class B-2, Class R-1, Class R-2 and Class R-3 (the “Certificates”). The Certificates will be offered pursuant to a Prospectus Supplement, to be dated on or about ~~October~~April 306, ~~2003~~2004, and a Prospectus dated September 25, 2003 (the Prospectus Supplement and the Prospectus are collectively referred to herein as the “Prospectus”) ~~to be~~ filed with the Commission pursuant to Rule 424(b)(5) under the Securities Act of 1933, as amended (the “Act”). The Computational Materials were prepared solely by Bear Stearns for use by Bear Stearns, as underwriter of the ~~Underwriter~~Certificates, and the Registrant did not prepare or participate (other than providing to Bear Stearns, as underwriter of the ~~Underwriter~~Certificates, the background information concerning ~~the~~ the underlying pool of assets upon which the Computational Materials are based) in in the preparation of the Computational Materials.
