- [F2]By agreement dated June 30, 2003, GSCP Recovery, Inc. granted Regal Entertainment Group (the "Company") the option to give GSCP Recovery, Inc. shares of the Company's Class A Common Stock, par value $0.001 (the "Common Stock") in lieu of a cash dividend. On July 7, 2003 the Company exercised its option and granted GSCP Recovery, Inc. an aggregate of 2,451,441 shares of Common Stock in lieu of a dividend, bringing the total number of shares of Common Stock directly owned by GSCP Recovery, Inc. to 11,674,685.
- [F3]By virtue of their relationships to GSCP Recovery, Inc., each of the Affiliates can be deemed to be an indirect beneficial owner of 11,674,685 shares of Common Stock. Each of the Affiliates disclaims beneficial ownership of the Company's securities except to the extent of his pecuniary interest in the Company's Common Stock.
