GP is governed by a board of directors consisting of four managers: Arnau Porto, Fabrice Grinda, and Jeffrey Weinstein (the "Directors") and the approval of a majority of the Directors is required to approve any action. Each of the Directors disclaims beneficial ownership of the securities held of record by Sponsor.
