I's (the "Issuer") registration statement on Form S-1 (File No. 333-258476), as amended (the "Registration Statement") and the Reporting Person's Initial Statement of Beneficial Ownership of Securities on Form 3, there were 375,000 shares of common stock, par value $0.0001 per share (the "Common Stock"), subject to forfeiture to the extent that the underwriters did not fully or partially exercise their over-allotment option in the Issuer's initial public offering of its securities. The underwriters did not exercise their over-allotment option, resulting in the Reporting Person forfeiting 375,000 shares of Common Stock.
- [F2]Achari Sponsor Holdings I LLC, a Delaware limited liability company (the "Sponsor"), is the record holder of such common stock. Mr. Desai is the managing member of the Sponsor. As such, Mr. Desai may be deemed to share beneficial ownership of such Common Stock held directly by the Sponsor. Mr. Desai disclaims beneficial ownership of any Common Stock other than to the extent he may have a pecuniary interest therein, directly or indirectly.
