("Merger Sub") and Ouster Technologies, Inc. ("Ouster Technologies"), Merger Sub merged with and into Ouster Technologies with Ouster Technologies surviving as a wholly owned subsidiary of the Issuer (the "Merger"). Upon consummation of the Merger, each issued and outstanding share of common stock of Ouster Technologies was automatically cancelled and converted into approximately 0.703 shares of common stock of the Issuer.
