- [F1]The phantom units expire upon settlement. The phantom units are settled upon vesting in common units (on a one-for-one basis) or, at the discretion of the Issuer, in cash. Each phantom unit granted is granted in tandem with a corresponding distribution equivalent right ("DER"), which shall remain outstanding from the grant date until the earlier of the payment or forfeiture of the related phantom unit. Each vested DER entitles the participant to receive additional phantom units having a value equal to any distributions made by the Issuer following the grant date in respect of the common unit underlying the phantom unit to which such DER relates.
