In addition, on May 6, 2024, the Company issued a capital call notice to its investors, pursuant to which Mr. Leach is obligated to make a capital contribution of $37,500 on May 20, 2024 out of his $250,000 aggregate capital commitment to the Company; the Company is obligated to issue shares of Common Stock to Mr. Leach, provided such capital contribution is funded timely. The number of additional shares of Common Stock that will be issued to Mr. Leach in respect of his $37,500 capital contribution will be determined by the then-applicable net asset value per share, which has not yet been determined; Mr. Leach will amend this Form 4 once that determination has been made.
