Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 12, 2005, Messrs. Lee M. Gammill, Jr., Frederick S. Hammer and Jon W. Yoskin, II, who are members of the Company’s board of directors currently serving terms that will expire at the Company’s upcoming annual general meeting of shareholders, informed the Company that they will not stand for re-election as directors. Accordingly, each of these board members will cease to be a director of the Company following the annual general meeting. Also on October 12, 2005, Messrs. Robert M. Lichten and Robert P. Johnson, whose terms would otherwise expire in 2006 and 2007, respectively, informed the Company that they will resign as directors of the Company effective as of the date of the annual general meeting.
