Item 8.01. Other Events.

On August 6, 2025, Match Group, Inc. announced the pricing of an unregistered offering by its indirect wholly owned subsidiary, Match Group Holdings II, LLC, of $700.0 million aggregate principal amount of 6.125% senior notes due 2033 (the “Notes”). The Notes were priced at par and will bear an interest rate of 6.125% per annum. The Notes are being offered in a private offering to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”) and to certain persons outside the United States under Regulation S of the Securities Act. The Notes offering is expected to close on August 20, 2025, subject to customary closing conditions.
