On August 1, 2025, Johnson Controls International plc (the “Company”) issued a press release regarding the transaction described under Item 8.01 of this Current Report on Form 8-K. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 8.01. Other Events.

On July 31, 2025, the Company completed the previously announced sale of its residential and light commercial HVAC business to Robert Bosch GmbH pursuant to a Stock and Asset Purchase Agreement, dated July 23, 2024, between the Company and Robert Bosch GmbH.
