Item 1.01 Entry into a Material Definitive Agreement.

Consolidated Capital Institutional Properties/2, LP, a Delaware limited partnership (the “Registrant”), owns a 100% interest in CCIP/2 Highcrest, L.L.C., a Delaware limited liability company (the “Company”). The Company owns Highcrest Townhomes (“Highcrest”), a 176-unit apartment complex located in Woodridge, Illinois. On As previously reported, on August 15, 2013 (the “Effective Date”), the Company entered into a Purchase and Sale Contract (the “Purchase Agreement”) with a third party, Laramar Kona Real Estate Associates, LLC, a Delaware limited liability company ~~(the “Purchaser”)~~, to sell Highcrest ~~to the Purchaser~~ for a total sales price of $20,175,000.

~~The~~On ~~following~~September is16, 2013, the Company and Purchaser entered into a ~~summary~~First ofAmendment ~~the~~to ~~terms~~Purchase and ~~conditions~~Sale ofContract (the ~~Purchase~~“First ~~Agreement~~Amendment”), pursuant to which ~~summary~~(i) isthe ~~qualified~~Purchaser inshall ~~its~~have ~~entirety~~the option to extend the closing date from October 14, 2013 to November 14, 2013, by ~~reference~~providing written notice to the ~~Purchase~~Company ~~Agreement~~by October 7, a2013 ~~copy~~and (ii) deliver an additional deposit of $250,000 to the escrow agent, which isshall ~~attached~~be treated as ana ~~exhibit~~part of the deposit under the Purchase Agreement.

~~PURCHASE~~This ~~PRICE. The~~summary ~~total~~of ~~purchase~~the ~~price~~terms isand ~~$20,175,000,~~conditions ~~subject~~of tothe ~~certain~~First ~~prorations~~Amendment ~~and~~is ~~adjustments~~qualified atin ~~the~~its ~~closing. The~~entirety ~~Purchaser~~by ~~delivered~~reference anto ~~initial~~the ~~deposit~~First ~~of $200~~Amendment,~~000~~ toa ~~Fidelity~~copy ~~National~~of ~~Title~~which ~~Insurance~~is ~~Company~~attached ~~(the~~hereto ~~“Escrow~~as ~~Agent”)~~an exhibit.

FEASIBILITY PERIOD. The feasibility period ends on September 13, 2013. On or before the expiration of the feasibility period, the Purchaser is required to deliver an additional deposit of $300,000 to the Escrow Agent. If the Purchaser fails to notify the Company in writing of its intent to terminate the contract on or prior to the end of the feasibility period, the initial deposit is non-refundable.

CLOSING. The expected closing date of the transaction is on or before October 14, 2013. The closing is also subject to customary closing conditions and deliveries.

COSTS AND FEES. The Company will pay any transfer taxes, the base premium for the title policy and the extended coverage endorsement, the cost of recording any instruments required to discharge any liens or encumbrances against the property, and one-half of the customary closing costs of the Escrow Agent. The Purchaser will pay any other costs relating to the title policy and one-half of the customary closing costs of the Escrow Agent.

REPRESENTATIONS AND WARRANTIES. The Purchaser and the Company each made limited representations and warranties to the other.

RISK OF LOSS. The risk of loss or damage to Highcrest by reason of any insured or uninsured casualty during the period through and including the closing date equal to or less than $750,000 will be borne by the Company. The Company agreed to maintain, in full force and effect until the closing date, all existing insurance coverage on Highcrest.

ASSIGNMENT. With the exception of an assignment to an affiliate of the Purchaser, the Purchase Agreement is not assignable by the Purchaser without first obtaining the written approval of the Company.

DEFAULTS AND REMEDIES. If the Purchaser defaults on its obligations to deliver when required any required deposits, the purchase price or any other specified deliveries, then the Purchaser will forfeit its deposits to the Company, and neither party will be obligated to proceed with the purchase and sale. The Company expressly waived the remedies of specific performance and additional damages for any such defaults by the Purchaser.

If the Company, prior to the closing, defaults in its representations, warranties, covenants, or obligations then the Purchaser has the option of (i) terminating the Purchase Agreement, receiving a return of its deposits, and recovering, as its sole recoverable damages its documented direct and actual out-of-pocket expenses and costs up to $300,000 or, (ii) subject to certain conditions, seeking specific performance of the Company’s obligation to deliver the deed pursuant to the Purchase Agreement.
