Item 8.01 Other Events

As previously disclosed, on March 7, 2023 Kimball International, Inc., an Indiana corporation (“Kimball”), entered into an Agreement and Plan of Merger by and among Kimball, HNI Corporation, an Iowa corporation (“HNI”), and Ozark Merger Sub, Inc., an Indiana corporation and a wholly-owned subsidiary of HNI (“Merger Sub”), providing for the merger of Merger Sub with and into Kimball, with Kimball surviving as a wholly-owned subsidiary of HNI (the “Merger”).

The completion of the Merger is conditioned upon expiration or termination of any applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the"HSR Act"), relating to the consummation of the Merger. The applicable waiting period under the HSR Act expired at 11:59 p.m., Eastern Time, on April 20, 2023.

The completion of the Merger remains subject to other customary closing conditions, including the receipt of the required approvals from Kimball shareholders.
