Item 8.01 Other Events

On March 8, 2023, HNI Corporation, an Iowa corporation (“HNI”) and Kimball International, Inc., an Indiana corporation (“Kimball”), issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of March 7, 2023 (the “Merger Agreement”), by and between HNI, Kimball and Ozark Merger Sub, Inc., an Indiana corporation and wholly owned subsidiary of HNI (“Merger Sub”), pursuant to which, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into Kimball, with Kimball continuing as the surviving entity and becoming a wholly owned subsidiary of HNI. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

In connection with the announcement of the Merger Agreement, Kimball and HNI intend to provide supplemental information regarding the proposed transaction in presentations to analysts and investors. The slides that will be made available in connection with the presentations are attached hereto as Exhibit 99.2 and are incorporated by reference herein.
